Job Purpose: The purpose of the Group Assistant Company Secretary is to assist the Group Company Secretary with a wide range of corporate governance and administrative duties within the NedNamibia Holdings Group of Companies (hereinafter referred to as “Group”) and ensuring that Group Companies complies with relevant legislation.

•Organizing, preparing agendas and documentation for and taking minutes of Board and Committee meetings as well as Executive Committee meetings;
•Organizing, preparing notices and proxies for and taking minutes of annual general meetings.
•Attending to the preparation for as well as passing and registration of special resolutions;
•Maintaining Company Secretarial records and returns, including registers of members, directors and secretaries;
•Attending to statutory administration for companies;
•Ensuring compliance with relevant legal requirements for companies;
•Assisting with the administration of shareholder matters and interacting with the Transfer Secretaries;
•Maintaining and updating of share and company registers;
•Ensuring correctness of share and company certificates;
•Assisting and maintaining board charters, terms of reference, mandates and signing authorities;
•Assisting and facilitating the proper induction and orientation for new board members and preparing presentations with respect to their duties and responsibilities;
•Assisting with the evaluation of Board/Board Committees, individual directors, chairperson and the Executive Committee;
•Managing and providing guidance of policy reviews for board approval;
•Assisting the Group Company Secretary with other Company Secretarial duties that may arise from time to time within the Group.

Education and Experience Requirements:
•Minimum of 5 years working experience of which at least 3 years in a Company Secretarial environment.
•Detailed knowledge of relevant legislation and relevant regulatory frameworks, including Companies Act, King II/III, Banking Institutions Act;
•Must be able to think and operate strategically and independently;
•Proven Computer literacy and working knowledge of MS-Outlook, Word, Excel, PowerPoint, etc.
•Institute of Chartered Secretaries and Administrators Degree (ACIS) or B degree with Law and/or LLB, B.Com or B Accounting with Company Law as a subject or extensive company secretarial experience.
