Specification
To provide assistance to the Company Secretary in respect of statutory administration of Group companies and administrative matters relating to the Board of Directors

Key Responsibilities include:
•Statutory Administration
oMaintenance of all company secretarial records and registers
oUpdate and maintain all statutory files, records, directors’ and share registers, Committee memberships, minute books (both manually and electronically)
oDraft resolutions and lodge required documents and annual returns with the Companies and Intellectual Property Commission (CIPC)
oAssist the Group Company Secretary in respect of company secretarial and other services as required by the Companies Act
oMaintenance of the filing system (paper and digital)
•Meeting Administration
oManage the Annual Year Planner, including scheduling and arranging of meetings of the Board of Directors and committees for the group
oAssist with preparation of agendas and meeting packs for all meetings ensuring quality control of all reports submitted
oTake and prepare draft minutes for circulation for relevant committees
oFollow up on action points from the meetings
•Corporate Governance
oAssist with research on legal and governance matters to ensure best governance practice and procedures are implemented e.g. non-executive director’s fees, governance approval processes, meetings procedures, enhancing stakeholder engagements, etc.
oDevelop compliance checklists as indicated e.g. AFS approvals, Annual auditor assessment, other regulatory matters
oAnnual Review and updating of all Board Charters and Committee Terms of Reference, MOIs, including other governance documents and frameworks
oUpdate and maintain Disclosure of Interests files
oAssist with preparation of Delegations of Authority at a Board and Executive level
oAssist with developing questionnaires and conducting the Annual Board and Committee Evaluation processes
oAssist with developing an induction programme for new directors and an annual Director training programme for existing directors
•Supporting and participating in the execution of projects and interventions
•Driving continuous improvement and self-development
•Executing and delivering on ad-hoc duties and responsibilities

Requirements
MINIMUM EDUCATION
A Company Secretary qualification. Registration with the Institute of Chartered Secretaries of Southern Africa (ICSA) or studying towards this. Or relevant equivalent.
MINIMUM EXPERIENCE
•2 years as an Assistant Company Secretary.
•2 years of excellent minute-taking experience
COMPETENCIES SKILLS
•Proficiency in MS Office applications, in particular SharePoint
•Knowledge and understanding of Companies Act, NPO Act, King IV
•Excellent written and verbal communication skills
•Drafting skills: agendas, letters, opinions
•Ability to liaise at Executive level
