Specification

MAIN PURPOSE OF THE JOB:

•Responsible for assisting the Board and its Committees to facilitate business and ensuring corporate compliance in terms of the Companies Act and relevant legislative requirements.

•Train and support the Directors, Executive Committee Members and other relevant stakeholders by providing advice and support to key stakeholders with regards to the relevant statutory governance

JOB DESCRIPTION:

1.Administration

•Manage and maintain the statutory records for the Group
•Proactively research and advise on the impact of relevant legislation on the business and possible impact on the business
•Review and recommend payments to relevant service providers
•Maintain statutory registers and records
•research and advise on the impact of relevant legislation on the business and possible impact on the business
•Ensuring all Meetings are recorded and minutes are approved and circulated as required

2.Legal

•Advise on, draft and/or review legal agreements for the Group
•Conduct contract negotiations with customers, vendors and other third parties
•Apply for, protect and maintain the Intellectual Property and Trademark rights of the Group
•Coordinate and advise on all legal matters
•Identify and minimise legal risks throughout the Group in conjunction with the Risk Management Team that you will establish and maintain to ensure effective and appropriate verbal and written communication of any legal risk control framework policies and monitor compliance
•Attend to/ co-ordinate litigation and ombudsman complaints
•Advise on legal debt collection processes, summons and litigation
•Provide and advise the Board with updated information on Corporate Governance and legislative matters
•Drafting of all legal contracts used by the company and updating of all contracts to ensure compliance with current and future legislation
•Strategic thinking with defined end game in respect of all litigation, commercial contracts and company negotiations
•Forward Planning and ensuring legal advisors perform workload essential for all activities
•Identify and minimise legal risks throughout the Group.
•Resolving legal disputes in conjunction with legal requirements

3.Compliance

•Assess/identify material compliance risks in the business areas
•Assist business with design of compliance management plans and implementation
•Establishing and maintaining compliance registers, monthly reports and follow-ups on all matters falling withing the legal department
•Monitor and report to executive management
•Ensure company compliance with various Acts covering:
Protection of Personal Information
Personal Card Industry
Various SA and County Acts and Bylaws as determined applicable by the company risk registers•Ensure company compliance with all legal frameworks and various acts

Requirements

REQUIREMENTS OF THE JOB:

•LLM
•12-15 years’ post admission experience
•4-5 years company secretarial experience
•Senior Corporate Management and Board experience
•Experience managing a team of attorneys.
