The purpose of the role is to provide demonstrable leadership and oversee the delivery of Governance, Legal, Compliance (GLC) functions in the form of best practice advice, business support and administration to the Board and Group Management Committee (Exco), ensuring compliance with corporate governance, reporting and monitoring on all legal matters, emerging legislation applicable to the Group as an organization and within the Group’s risk appetite

Provides governance counsel to the Group Board and Subsidiary Boards with a focus on King IV alignment where appropriate
Facilitates the annual board diary/itinerary. Ensuring agendas and pre-reading material are prepared for the LHL Board and its sub-committees. Ensures that accurate and timely minutes of Board and subcommittee meetings are made and distributed and that all resolutions are recorded.
Facilitates the communication channel between Board and the Group EXCO.
Ensures adherence to laws/regulations and acceptable business standards for the Group and subsidiaries
Advises and guides the Business on permissible activities for complex pipeline transactions, Mergers & Acquisitions, commercial partnership agreements, new products, due diligence exercises e.t.c
Ensures and monitors compliance to local and international laws/standards such as Anti-Money Laundering (AML), Market Abuse, Insider Trading, Conflicts of Interests, Market Conduct, and Employee Compliance.
Acts as an enabler to the business, providing legal advice for the business to grow within the regulatory framework.
Ensures that there is a suitable Anti-Money Laundering function in place and oversees the development, monitoring and reporting on AML policies and procedures as required across the Group.
Provides legal and compliance counsel across the Group, ensuring that the appropriate frameworks are in place to promote and manage the risk appetite of the Group.
Regular monitoring of practices and alerting Boards and Management of any potential breaches of regulation / laws and internal Group policies as well as proactively managing emerging risks and regulations.
Drives the development of relevant frameworks, policies and GLC training for the business as required.
Manages and monitors the Groups interactions with Regulators and external stakeholders.
At least an LLB degree or equivalent.
Master’s Degree would be an added advantage
At least 15 years of experience post qualification, of which 5 years should have been in an executive management role.
Must have been a practicing attorney
Various stock exchange fit and proper and registered officer qualifications an advantage
Solid experience in regulatory field or equivalent relevant legal experience within a Pan-African Group or financial services
Experience as a Chief Compliance Officer or similar field is strongly preferred.
Experience in corporate law and corporate governance
