Core purpose of the role

To lead the drive for an ethical and compliance culture in the organization and to take strategic and leadership responsibility for Corporate Services (including legal, risk and compliance).

Key deliverables and outputs


• Strategically develop and lead the implementation, monitoring and updating of the ethics, compliance and governance roadmap
• Work closely with the organisation to ensure the correct policies and procedures are in place to drive and entrench an ethical
and compliance culture
• Ensure the Legal processes are followed throughout the organization to minimise exposure to legal challenges
• Ensure oversight of all contracts within the organisation
• Ensure IT Governance protocols are followed within the organisation
• Ensure that the compliance universe is entrenched and followed across the organisation
• Co-ordinate the insurance function and portfolio for the organisation
• Monitor that policies and procedures are being followed, and that behaviour in the organisation meets the Group’s Worldwide
Code of Conduct insofar as Governance, Risk and Compliance is concerned
• Identify and appropriately action potential areas of compliance vulnerability and risk, typically around new ethics, compliance,
governance and POPIA related legislation
• Prepare the annual report for the organisation
• Ensure budgets are compiled and presented to CEO for final approval annually
• Provide strategic direction within areas of responsibility (legal, risk, ethics, compliance, governance, corporate services etc.)
• Drive a culture of continuous improvement and innovation

• Support employees of the organisation, management and the board of directors to comply with ethics-related rules, regulations
and legislation of the countries in which the organisation operates
• Ensure internal issues relating to insurance claims and related processes for the Group are managed
• Confidentially deal with tip offs received (including arranging investigation, feedback and closure) to resolve these in a
confidential manner and within stipulated timeframes
• Report and present on issues related to Governance, Risk and Compliance to the various stakeholders, including the respective Board subcommittees in terms of:
oAudit Committee reports
oRisk and Sustainability
oEthics and Compliance
oGovernance and Legal
oIT Governance
oDefalcation and Tip-offs
• Coordinate the risk assessments and reviews
• Involvement with large insurance claims, claims reports and statistics
• Involvement in the development of an effective compliance training program for employees, non-executive directors and other
related stakeholders
• Implement all aspects of the ethics and compliance program where necessary
• Responsible for internal and external communication

3.Stakeholders (internal & external customers, suppliers, shareholders, communities)

• Interfacing with third party service providers, counsel and compliance consultants on regulatory/compliance matters
• Ensure effective relationships are built and maintained with all internal and external stakeholders in order to engage with them


• Provide clear direction and decisive leadership to direct reports, ensuring all are aligned to the goals and have a clear purpose.
• Set clearly defined performance standards / targets for direct reports, holding them accountable to achieve these and providing
support and guidance where needed.
• Create and maintain a constructive atmosphere within the team, engaging and motivating direct reports to always give their
best, while respecting any areas of diversity (whether areas of expertise, cultural, gender, age, background, etc.)
• Ensure direct reports adhere to set business policies and procedures, emphasising the importance of general discipline at work
and objectively correcting and handling any deviations as they arise.
• Resource and staff the team appropriately, considering the relevance of current and new jobs as well as the most suitable ways
in which to place or replace any vacancies.
• Set the example to the team and deliver on the employee value proposition by leading the team and the business in line with the
Barloworld Leadership Competency Framework.
• Support and encourage direct reports to drive their own individual development plans in order to further grow as professionals
in their jobs.

Academic qualifications


• Relevant post-graduate degree (e.g. business management)
• Valid driver’s license
• Valid passport

• Business or law degree

Note: Travel from time to time to locations where we operate within and outside South Africa.

Work experience

• 8-10 years in a senior corporate management role reporting to the Executives
• Experience in oversight and corporate governance roles
• Experience in interacting at executive levels and board level
• Proven track record of working with commercial contracts, KPI’s and maintaining contracts

• Experience in corporate governance
• Experience with property management
